IP Held in an Investor-Aligned Entity

Critical intellectual property is assigned to an entity aligned with investors before a raise

Before entrepreneurs raise on MetaDAO, they must assign their critical intellectual property (IP) to an investor-aligned entity. If the raise fails to close, they get this IP back.

Examples of IP include:

  • Software
  • Inventions
  • Brand assets
  • Social media accounts
  • Domain names

Currently, we use a Cayman Islands Segregated Portfolio Company (SPC) to hold this IP. The Cayman Islands is widely seen as one of the most trusted and prestigious offshore jurisdictions; for example, Y Combinator only invests in four types of companies: US, Canada, Singapore, and Cayman.

It is also expected that entrepreneurs get their employees to sign over created intellectual property to the company.
